By accessing or using the website www.nmrstr.shop (the "Site") and engaging the services of NMR STRATEGIC ENTERPRISE LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Site or services. We reserve the right to modify these Terms at any time, with changes effective upon posting.
We provide professional technology consulting services including computer systems design, IT infrastructure consulting, cloud solutions, cybersecurity, data analytics, and digital transformation. Specific scope, deliverables, timeline, and fees are defined in a separate Statement of Work (SOW) or Service Agreement.
Our intellectual property, including website content, methodologies, and tools, remains our exclusive property. Upon full payment, we grant you a non-exclusive, non-transferable license to use Deliverables created for you. You retain rights to materials you provide, granting us a limited license to use them for providing Services.
Fees are set forth in the applicable SOW. Invoices are due within 30 days. Late payments may incur a 1.5% monthly service charge. You are responsible for applicable taxes. We reserve the right to suspend Services for non-payment after notice and cure period.
Both parties agree to maintain confidentiality of all Confidential Information. Each party shall use Confidential Information solely for engagement purposes, not disclose to third parties without consent, protect with reasonable care, and return or destroy upon termination. Exclusions apply for publicly available information or information required by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. (B) OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. (C) THESE LIMITATIONS DO NOT APPLY TO DEATH, PERSONAL INJURY, FRAUD, BREACH OF CONFIDENTIALITY, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
Our Services and Site are provided "AS IS" without any warranties, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify us against claims arising from your use of our Site or Services in violation of these Terms, violation of law, infringement of third-party rights, or information you provide.
Either party may terminate an engagement upon 30 days' written notice. Either party may terminate immediately for material breach that remains uncured after 30 days' notice, insolvency, or illegal conduct. Upon termination, you shall pay all fees due through the termination date.
These Terms are governed by the laws of the State of Ohio. Disputes shall be resolved through good-faith negotiation, then mediation, and finally binding arbitration in accordance with American Arbitration Association rules in Columbus, Ohio.
You may use our Site for lawful purposes only. Prohibited activities include unauthorized access attempts, introducing malware, data scraping, sending unsolicited communications, or interfering with Site operation.
Neither party shall be liable for delays caused by circumstances beyond reasonable control, including acts of God, war, terrorism, government actions, pandemic, or service disruptions.
These Terms, together with any SOW, constitute the entire agreement and supersede all prior agreements. No modification is effective unless in writing and signed by both parties.
If any provision is held invalid, the remaining provisions continue in effect. Failure to enforce a provision does not constitute a waiver.
